Please read these Terms and Conditions (“Terms”) carefully. By accessing or using the website indiafastners.com (“Website”) or by submitting a Purchase Order or inquiry for products, you agree to be bound by these Terms, which constitute a legally binding agreement between you (“Customer,” “Buyer,” or “User”) and India Fasteners (“Company,” “We,” “Us,” or “Our”).
1. General Terms of Website Use
1.1. Eligibility: Use of the Website is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. By using the Website, you represent that you are at least 18 years old or are accessing the Website on behalf of a business entity with the authority to bind that entity to these Terms.
1.2. Purpose of Website: The content on the Website, including product descriptions, specifications, technical data, pricing, and availability, is for informational and invitation-to-offer purposes only. It does not constitute a firm offer to sell.
1.3. Intellectual Property: All content on the Website, including text, graphics, logos, product images, technical drawings, data compilations, and software, is the property of India Fastners or its suppliers and is protected by Indian and international copyright and intellectual property laws.
1.4. Prohibited Uses: You may not use the Website to transmit or upload any material that is offensive, harmful, or illegal, or that infringes upon the rights of others.
2. Quotations, Orders, and Acceptance of Contract (B2B Sales)
2.1. Inquiries and Quotations:
- Request for Quote (RFQ): Your submission of an inquiry or Request for Quote (RFQ) via the Website, email, or phone constitutes an invitation for us to make an offer.
- Quotation Validity: Any price or delivery time quoted by us is valid only for the period stated in the quote or, if no period is stated, for a period of seven (7) days, and is subject to availability and final confirmation.
2.2. Purchase Orders (PO):
- Customer Offer: Your issuance of a Purchase Order (PO) to India Fastners constitutes a formal offer to buy the Goods described in the PO under the terms of our quotation and these Terms.
- Acceptance: No contract for the sale of Goods shall exist until we issue a written Order Acknowledgement or formally commence production/shipment of the Goods. Any terms in your PO that conflict with these Terms are hereby rejected unless expressly accepted by us in writing.
2.3. Price and Payment:
- Pricing: The price for the Goods will be the price set out in our final written quotation and Order Acknowledgement. Prices are exclusive of Goods and Services Tax (GST) and any other applicable taxes, duties, and levies, which shall be paid by the Customer.
- Payment Terms: Payment terms (e.g., advance, Net 30 days, or Letter of Credit) will be specified in the Order Acknowledgement. If the Customer fails to make any payment on the due date, we reserve the right to suspend any further deliveries or charge interest on the overdue amount.
3. Delivery, Risk, and Title
3.1. Delivery Dates: Any dates quoted for delivery are approximate only, and time for delivery is not of the essence. We shall not be liable for any delay in delivery caused by a Force Majeure event or by the Customer’s failure to provide adequate delivery instructions.
3.2. Risk of Loss: The risk of loss or damage to the Goods shall pass to the Customer upon delivery at the designated delivery point.
3.3. Retention of Title: Notwithstanding delivery and the passing of risk, the title (ownership) of the Goods shall not pass to the Customer until we have received full payment in cash or cleared funds for the Goods and all other goods agreed to be sold by us to the Customer for which payment is then due.
4. Quality and Warranty
4.1. Limited Warranty: We warrant that upon delivery, the Goods shall:
- Conform in all material respects with their description and specification in the Order Acknowledgement.
- Be free from material defects in design, material, and workmanship for a period specified in PO from the date of delivery (the “Warranty Period”).
4.2. Exclusions: The warranty in Section 4.1 does not apply to any defect arising from:
- Fair wear and tear.
- The Customer’s failure to follow our or the manufacturer’s oral or written instructions.
- Misuse, alteration, or unauthorized repair of the Goods.
- Any specification, drawing, or design supplied by the Customer.
5. Limitation of Liability
5.1. Maximum Liability: Our total liability to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract shall be limited to 100% of the total price paid for the Goods to which the claim relates.
5.2. Exclusion of Indirect Loss: We shall not be liable to the Customer for any:
- Loss of profit.
- Loss of business.
- Loss of revenue.
- Loss of anticipated savings.
- Any indirect or consequential loss or damage.
6. Governing Law and Jurisdiction
6.1. Governing Law: These Terms and Conditions and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.
6.2. Jurisdiction: The courts in Mumbai, Maharashtra shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or any resulting Contract.
7. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under a Contract to the extent that such failure or delay is caused by an event beyond our reasonable control (“Force Majeure Event”), including but not limited to: acts of God, governmental restrictions, wars, insurrections, fires, floods, pandemics, or labor disputes.
8. Amendments
We reserve the right to amend these Terms at any time. The updated Terms will be effective upon posting on the Website. Your continued use of the Website constitutes acceptance of the modified Terms.
